Draft vs. Approved HOA Minutes: What's the Difference?

Not all minutes carry the same weight. A draft is a working document; approved minutes are the association's official legal record. Confusing the two can cause real problems — from owner disputes to questions about whether a decision is even valid. Here's the difference and why it matters.

Draft minutes

Draft minutes are the secretary's initial write-up of a meeting, prepared soon after it ends. They are:

  • Unofficial — a proposed record, not yet adopted by the board.
  • Subject to correction — any board member can flag errors or omissions.
  • Best marked "DRAFT" so no one mistakes them for the final version.

Drafts are circulated before the next meeting so the board can review them in advance.

Approved minutes

Approved minutes are draft minutes that the board has formally adopted — usually by a motion and vote at the following meeting. They are:

  • The official record of what the board decided.
  • Legally authoritative — the version that counts in disputes, audits, or court.
  • Final — once approved, they're not edited; corrections happen through a new motion to amend.

Why the distinction matters

  • Legal weight: only approved minutes are the official record. A draft can be challenged as incomplete or inaccurate.
  • Owner reliance: owners and buyers may rely on minutes; sharing an unapproved draft as final invites confusion.
  • Recordkeeping: your permanent archive should store the approved versions, clearly dated.

The approval process in four steps

  1. Secretary writes the draft promptly and marks it "DRAFT."
  2. Draft is circulated to the board before the next meeting.
  3. At the next meeting, a board member moves to approve the minutes (as written or as amended); the board votes.
